This website serpsmoothie.com (the “Website”) is owned and operated by SERP Smoothie (“SERP Smoothie”, “we”, “us”, or “our”).

The following Terms of Service (“Terms”) govern your access to and use of the Services (as defined below). Please read them carefully.

By registering for and accessing the Services, you confirm that you (1) are at least 18 years old, (2) have an active Google Ads and Google Search Console account, and (3) unconditionally accept these Terms by clicking “I agree” when signing up.

1. Definitions

Agreement: These Terms, including our Privacy Policy and any related documentation published on the Website.

Services: The web-based features, dashboards, alerts, and recommendations provided by SERP Smoothie that integrate and analyze your Google Ads and Google Search Console data.

Trial Period: A free trial of the Services for a limited time (typically 7 days), unless otherwise agreed.

User Data: All data connected to your Google Ads and Search Console accounts that is retrieved, analyzed, or displayed within the Services.

Account: Your registered access to the Services, including any authorized team members (“Authorized Users”) you add.

2. Use of Services

You may use the Services only for lawful business purposes. SERP Smoothie grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services.

You must not use the Services to build a competing product, share your login credentials with unauthorized parties, or use automated tools (scrapers, bots) unless expressly permitted.

The Services require active connections to both Google Ads and Google Search Console. If access is revoked or unavailable, some features may be degraded or disabled.

3. Pricing

Prices are listed at serpsmoothie.com/pricing and are exclusive of applicable taxes. Payment is required via valid credit card or supported method at signup.

After any Trial Period, your subscription will automatically begin unless canceled before the trial ends.

SERP Smoothie reserves the right to update pricing at any time with 30 days’ notice. No refunds will be issued once a billing cycle has started.

You remain solely responsible for costs related to your Google Ads account.

4. Disclaimer & Limitation of Liability

SERP Smoothie provides data visualization and decision-support tools. It does not guarantee increased traffic, reduced ad spend, or improved rankings.

To the fullest extent permitted by law, we make no warranties regarding uptime, accuracy, or suitability of the Services.

Our liability for any damages shall not exceed $100 or the total amount paid by you in the 12 months preceding the claim.

We are not liable for issues caused by third-party services (e.g., Google Ads API downtime).

5. Intellectual Property

All intellectual property in SERP Smoothie, including code, interface design, and branding, remains our exclusive property.

You may not reproduce, modify, resell, or distribute any part of the Services without prior written consent.

6. Data & Privacy

Please refer to our Privacy Policy for details on how we collect, store, and process your data.

By using the Services, you grant SERP Smoothie access to your Google Ads and Google Search Console data solely for the purpose of providing you with insights and recommendations.

Our platform may contain links to third-party tools or documentation (e.g., Google resources). We are not responsible for the content or policies of external websites.

8. Relationship

You and SERP Smoothie are independent entities. Nothing in these Terms creates a partnership, joint venture, or employment relationship.

9. Indemnification

You agree to indemnify SERP Smoothie against claims arising from your misuse of the Services, breach of these Terms, or infringement of third-party rights through your content or data use.

10. Termination

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle.

We may suspend or terminate your access if you violate these Terms or applicable laws. In case of termination, we reserve the right to delete your data from our systems.

11. User Representations

By using the Services, you represent and warrant that:

  • All registration information you provide is true, accurate, and complete;
  • You have the legal capacity and authority to enter into this agreement;
  • You are at least 18 years old and use the Services for business purposes only;
  • You will not access the Services via automated or non-human means (e.g., bots, scripts);
  • You will not use the Services for any illegal or unauthorized activity;
  • Your use of the Services complies with all applicable laws and regulations.

12. Prohibited Use

You agree not to misuse the Services. Specifically, you must not:

  • Reverse engineer, decompile, or attempt to extract the source code of the Services;
  • Use scraping tools, bots, or automated systems without prior written permission;
  • Disrupt or interfere with system security or other users’ experience;
  • Use the Services to develop a competing product or service;
  • Transmit malware, spam, or any harmful or illegal content;
  • Impersonate another person or gain unauthorized access to an account.

13. User Data

You are solely responsible for any data you connect to the Services. While SERP Smoothie performs regular data syncs and backups, we cannot guarantee the integrity or recoverability of data lost due to third-party issues, user error, or system outages. We recommend maintaining your own backup of all critical data. You acknowledge and accept this responsibility.

14. Suggestions and Feedback

By submitting any ideas, feature requests, or feedback to SERP Smoothie, you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, modify, and incorporate your input into our products or services. We are under no obligation to compensate you or acknowledge the submission.

15. Electronic Communications and Signatures

By using the Services, you consent to receive communications from us electronically. You agree that electronic agreements, notices, disclosures, and other communications satisfy any legal requirements that such communications be in writing. You also agree that electronic signatures are legally binding and enforceable.

16. Corrections

There may occasionally be typographical errors, inaccuracies, or omissions on the Website or within the Services. We reserve the right to correct any such errors and update content at any time without prior notice.

17. Force Majeure

SERP Smoothie shall not be held liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor strikes, power outages, or interruptions to internet or hosting infrastructure. If such an event continues for more than 30 days, either party may terminate the Agreement with written notice.

18. Governing Law

These Terms are governed by Belgian law. All disputes shall be subject to the exclusive jurisdiction of the courts of Ghent, Belgium.

19. Modifications

We may update these Terms with 30 days’ notice. Continued use after the changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Services.

20. Assignment

We may assign or transfer these Terms to an affiliate or successor entity without notice.

21. Severability

If any provision of these Terms is found unenforceable, the rest remains in effect.
